The UBO is a CLOSED registry. The UBO Registry aims to identify the individuals who ultimately own or control companies operating in St. Maarten, ensuring compliance with the Chamber Registry Decree (Handelsregister Besluit) Article 16-21.
The following entities (not sole proprietorships) are required to provide information about their Ultimate Beneficial Owners (UBO):
• Foundations, Private Fund Foundations, Associations, Public
Limited Companies, and Private Companies.
• Partnerships established through an agreement between two or more persons for joint account, aimed at achieving financial benefit for all partners through individual contributions.
• Trusts
• Foreign legal entities
UBO deposits occur through submission of Form Model I-F with supporting documentation and updates are filed through Model Form I-A with supporting documents.

Submissions are done through COCI portal and/or in person in sealed envelopes at COCI’s Business Center (adjacent to the main office). If submitted via the portal, you are still obligated to submit your sealed file to COCI office to ensure legal compliance.
This process is essential for ensuring compliance and protecting sensitive information. More submission information can be found on page 15 and 16 of the booklet.
UBO Submission Options:
Through the Notaries, Lawyers or Personal Submission at COCI.
Costs are associated with this submission and are similar to costs associated with changes and deposits into the Registry.
